What law governs Phinisi Broker engagement contracts?
Standard engagement agreements (seller listing agreements + buyer engagement agreements) are governed by Indonesian law. Disputes resolved through Indonesian courts of competent jurisdiction (Bali) as default. By mutual agreement, parties may elect Singapore International Arbitration Centre (SIAC) for arbitration as alternative forum. Foreign-law governance available with explicit agreement and reasonable cost reimbursement.
What is your liability for vessel condition representations?
Phinisi Broker acts as licensed brokerage intermediary. Vessel condition, specifications, charter performance, operational economics, and historical operating data are subject to buyer due diligence including independent surveyor inspection. We make commercially reasonable efforts to vet listings via physical inspection and documentation review, but we do not guarantee accuracy of information provided by sellers and we do not act as warrantor of vessel condition.
How do I dispute brokerage commission calculations?
Standard sell-side commission is calculated as percentage of closing price as defined in signed listing agreement. Disputes regarding commission calculation should be raised within 30 days of closing settlement statement. Initial resolution via good-faith discussion with engagement broker; if unresolved, escalation to Juara Holding executive team. Final resolution via dispute mechanism in engagement agreement (Indonesian courts or SIAC arbitration).
